1. Introduction and Acceptance

1.1 These Terms and Conditions ("Terms") govern access to and use of the website located at External link opens in new tab or windowwww.comtechwarehouse.com (the "Website") and all products and services offered by Computer Technology Warehouse FZ LLC, a company registered in the Ras Al Khaimah Economic Zone (RAKEZ), United Arab Emirates, with its registered address at FBC5133, Compass Building, Al Shohada Road, Al Hamra Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates ("CTW," "we," "us," or "our"), including current offerings (networking and distribution products, the WhatsApp AI Assistant service) and any future products or services CTW may introduce (collectively, the "Services").

1.2 By accessing the Website, purchasing or using any Service, or by tapping "I Agree" or an equivalent affirmative action during any onboarding process, the individual or business ("Customer," "you," or "your") confirms that it has read, understood, and agrees to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.

1.3 If you are accepting these Terms on behalf of a business or other entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

1.4 If you do not agree to these Terms, you must not access the Website or use any Service.

1.5 These Terms are governed by onshore UAE federal law. No provision of these Terms should be construed as adopting or referencing Dubai International Financial Centre (DIFC) or Abu Dhabi Global Market (ADGM) law or courts.

1.6 Where a specific Service has its own supplementary terms (including Section 14, WhatsApp AI Assistant Terms), those supplementary terms apply in addition to these general Terms. In the event of a direct conflict, the Service-specific terms govern for that Service only.

2. Eligibility and Accounts

2.1 You must be at least 18 years of age and have the legal capacity to enter into binding agreements under UAE law to use any Service.

2.2 You agree to provide accurate, current, and complete information when engaging with CTW, and to keep such information up to date.

2.3 You are responsible for maintaining the confidentiality of any account credentials, order references, or communication channels (including a WhatsApp number) associated with your use of the Services, and for all activity conducted through them.

2.4 You must notify CTW promptly of any unauthorized use of your account, credentials, or communication channel.

3. Products, Orders, and Pricing (General Distribution and Infrastructure Products)

3.1 Product descriptions, specifications, and pricing displayed on the Website are subject to change without notice and do not constitute a binding offer until confirmed in writing by CTW.

3.2 All orders are subject to acceptance by CTW and availability of stock. CTW reserves the right to refuse or cancel any order at its discretion, including in cases of pricing errors, suspected fraud, or supply constraints.

3.3 Payment terms, delivery terms, and warranty terms for specific products will be set out in the applicable quotation, invoice, or order confirmation, which forms part of the agreement between the parties for that transaction.

3.4 Title to goods passes only upon receipt of full payment by CTW, notwithstanding delivery.

4. Privacy and Data Protection

4.1 CTW processes personal data in connection with the Services in accordance with Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (the "PDPL") and other applicable UAE federal legislation.

4.2 Details of what personal data is collected, how it is used, retained, and shared, and the rights available to you as a data subject, are set out in our Privacy Policy, available at External link opens in new tab or windowwww.comtechwarehouse.com/privacy, which forms part of these Terms.

4.3 CTW may use anonymized or aggregated data derived from use of the Services to improve, evaluate, or develop CTW's products, including AI-based services, in a manner that does not identify any individual, without further consent, to the extent permitted under the PDPL.

5. Acceptable Use

5.1 You agree not to use the Website or any Service to:

(a) transmit unlawful, defamatory, obscene, threatening, or harassing content;

(b) impersonate any person or entity, or misrepresent your affiliation with any person or entity;

(c) attempt to interfere with, disrupt, reverse-engineer, or gain unauthorized access to any Service, its underlying systems, or related infrastructure;

(d) use any Service for any purpose that violates UAE federal or emirate-level law, including Federal Decree-Law No. 34 of 2021 on Combatting Rumours and Cybercrimes;

(e) transmit any virus, malware, or other harmful code through any Service;

(f) resell, sublicense, or redistribute any Service without CTW's prior written consent, except as expressly permitted under a separate distribution agreement.

5.2 CTW reserves the right to suspend or terminate access for any Customer reasonably believed to be in breach of this Section 5, in accordance with Section 9.

6. Intellectual Property

6.1 All rights, title, and interest in and to the Website and Services, including software, content, trademarks, trade names, and materials generated by CTW (excluding Customer-provided content), are and remain the exclusive property of CTW or its licensors.

6.2 Nothing in these Terms grants Customer any license or right in CTW's intellectual property except the limited, non-exclusive, non-transferable right to access and use the Services for their intended purpose.

6.3 Any feedback, suggestions, or ideas submitted by Customer regarding any Service may be used by CTW without restriction or compensation.

6.4 Customer retains ownership of information it submits to CTW, and grants CTW a license to use such information solely to provide and improve the Services, subject to Section 4.

7. Disclaimers

7.1 To the fullest extent permitted under applicable UAE law, the Website and Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranty of satisfactory quality, fitness for a particular purpose, accuracy, or non-infringement.

7.2 CTW does not warrant that the Website or any Service will be uninterrupted, error-free, or secure.

7.3 Nothing in this Section 7 excludes or limits any warranty or liability that cannot lawfully be excluded or limited under mandatory provisions of UAE law, including Federal Law No. 15 of 2020 on Consumer Protection, where and to the extent applicable.

8. Limitation of Liability

8.1 To the maximum extent permitted under UAE law, CTW's total aggregate liability arising out of or in connection with these Terms or any Service, whether in contract, tort, or otherwise, shall not exceed the total fees paid by the Customer to CTW for the specific Service giving rise to the claim in the three (3) months preceding the event.

8.2 To the maximum extent permitted under UAE law, CTW shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profit, loss of business, or loss of data.

8.3 Nothing in these Terms excludes or limits liability for death or personal injury caused by proven gross negligence or wilful misconduct, fraud, or any other liability that cannot be lawfully excluded or limited under the UAE Civil Transactions Law (Federal Law No. 5 of 1985) or other mandatory UAE legislation.

8.4 Where a Service involves an independent third-party provider (including a Service Provider under the WhatsApp AI Assistant, Section 14), CTW's liability is limited to CTW's own acts and omissions and does not extend to the acts or omissions of that independent third party, except to the extent CTW's own negligence directly caused the loss.

9. Suspension and Termination

9.1 CTW may suspend or terminate Customer's access to the Website or any Service, in whole or in part, immediately and without prior notice, where CTW reasonably believes Customer has breached these Terms, engaged in fraudulent or unlawful activity, or where required to comply with applicable law or a competent authority's instruction.

9.2 CTW may otherwise suspend or terminate a Service, or access to it, upon reasonable notice, including for commercial or operational reasons.

9.3 Termination does not affect any rights or obligations accrued prior to the date of termination, including outstanding payment obligations.

9.4 Sections 4, 6, 7, 8, 10, and 12 survive termination of these Terms.

10. Indemnification

10.1 Customer agrees to indemnify, defend, and hold harmless CTW, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

(a) Customer's breach of these Terms;

(b) Customer's misuse of the Website or any Service;

(c) Customer's violation of any applicable UAE law or the rights of any third party;

(d) any information or content submitted by Customer that is false, misleading, or infringes the rights of a third party.

10.2 This indemnification obligation shall survive termination of these Terms.

11. Changes to These Terms

11.1 CTW may amend these Terms from time to time. Where a change is material, CTW will provide reasonable notice via the Website, email, or the relevant Service's communication channel, prior to the change taking effect.

11.2 Continued use of the Website or any Service following the effective date of an amendment constitutes acceptance of the amended Terms. Each version bears a version number and effective date. CTW will maintain a record of which version a given Customer accepted and when, where technically applicable (including for the WhatsApp AI Assistant Service).

12. Governing Law and Dispute Resolution

12.1 These Terms, and any dispute or claim arising out of or in connection with them or any Service (including non-contractual disputes or claims), shall be governed by and construed in accordance with the federal laws of the United Arab Emirates, as applied onshore and, where relevant, the laws of the Emirate of Ras Al Khaimah.

12.2 The courts of Ras Al Khaimah, United Arab Emirates, shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, without prejudice to any mandatory consumer protection venue rights available to Customer under Federal Law No. 15 of 2020 on Consumer Protection where Customer qualifies as a consumer under that law.

12.3 The parties may agree in writing to refer a dispute to mediation or arbitration prior to initiating court proceedings, but neither party is obligated to do so unless separately agreed.

12.4 These Terms are prepared in English. Where a translated version is provided for convenience, the Arabic version, if issued, shall prevail to the extent of any inconsistency, in accordance with UAE legal practice.

13. General Provisions

13.1 Entire Agreement. These Terms, together with the Privacy Policy and any Service-specific terms (including Section 14) and order-specific terms, constitute the entire agreement between Customer and CTW.

13.2 Severability. If any provision of these Terms is found invalid or unenforceable under UAE law, the remaining provisions shall continue in full force and effect, and the invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

13.3 No Waiver. Failure by CTW to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

13.4 Assignment. Customer may not assign or transfer its rights or obligations under these Terms without CTW's prior written consent. CTW may assign these Terms in connection with a merger, acquisition, or sale of assets.

13.5 Force Majeure. CTW shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, government action, regional instability, telecommunications or internet failures, or failures of third-party platforms (including WhatsApp/Meta infrastructure or shipping/logistics providers).

13.6 New Services. These Terms apply automatically to any new product or service CTW introduces on the Website, unless CTW publishes separate terms for that product or service, in which case the more specific terms govern for that product or service.

14. WhatsApp AI Assistant Service — Supplementary Terms

This Section 14 applies specifically to CTW's WhatsApp-based AI assistant service (the "Assistant Service") and supplements, without replacing, Sections 1–13 above.

14.1 Nature of the Service. The Assistant Service provides an artificial-intelligence-assisted conversational interface delivered via WhatsApp, enabling Customers to receive information, make enquiries, and where applicable, request or confirm bookings with independent service businesses using the CTW platform ("Service Providers").

14.2 CTW's Role. CTW acts as a technology and communications intermediary. Unless expressly stated otherwise, CTW is not the provider of the underlying service (e.g., pest control, cleaning) booked or enquired about through the Assistant Service; that service is provided by the relevant Service Provider. CTW's responsibility is limited to the operation of the conversational platform.

14.3 AI-Generated Content. The Assistant Service uses automated and AI-based systems. Responses generated by the Assistant Service are produced algorithmically and may occasionally be incomplete, delayed, or inaccurate. Section 7 (Disclaimers) applies in full to the Assistant Service.

14.4 Service Changes. CTW may modify, suspend, or discontinue any feature of the Assistant Service at any time, with or without notice, provided that active booking commitments already confirmed prior to such change remain subject to the terms in effect at the time of confirmation, unless otherwise required by applicable law.

14.5 Conversation Data. Conversation data generated through the Assistant Service may be reviewed by authorized CTW personnel or contracted processors for quality assurance, dispute resolution, and service improvement purposes, subject to confidentiality obligations and the PDPL, as further described in the Privacy Policy.

14.6 Acceptance Record. For the Assistant Service, CTW will maintain a record of the specific Terms version accepted by each Customer and the date of acceptance, captured at the point of onboarding.
